Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

     On and effective as of December 20, 2007, the Board of Directors of PetroQuest Energy, Inc. (the “Company”) amended Article IX of the Bylaws of the Company (the “Bylaws”) to allow for the issuance, transfer and replacement of uncertificated shares of the Company’s capital stock. Article IX previously required shares of the Company’s capital stock to be represented by certificates. The Board of Directors amended Article IX to allow the Company to be eligible to participate in the Direct Registration System, as required by the New York Stock Exchange effective as of January 1, 2008.

     The full text of the Bylaws, as amended through December 20, 2007, is included as Exhibit 3.1 to this report, and amended Article IX thereof is incorporated herein by reference.
