iMedia Brands, Inc. (the “Company”) is unable to file its Annual Report on Form 10-K for the fiscal year ended January 29, 2022 (the “Annual Report”) within the prescribed time period without unreasonable effort and expense.

The Company is in the process of finalizing the documentation required for the Company’s purchase price allocations for its four 2021 acquisition transactions. The Company intends to file the Annual Report on or before the fifteenth calendar day following the prescribed due date.
