Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or
Standard.

The Company  received a Nasdaq Staff  Determination  on July 24, 2008 indicating
that the Company fails to comply with the Minimum bid price  requirement(s)  for
continued  listing  set forth in  Marketplace  Rule  4310 (c) (4),  and that its
securities  are,  therefore,  subject  to  suspension  of listing  and  possible
delisting  from the Nasdaq  Capital  Market  unless  the  Company  requests  and
receives a different  determination  by Nasdaq Listing  Qualifications  Panel on
appeal,  which appeal must be filed by July 31, 2008.
