Item 1.01 Entry into a Material Definitive Agreement.

On September 8^th, 2008 Regan Holding Corp (the “Company”), entered into a Line of Credit Promissory Note with Lynda Pitts, Chief Executive Officer and Preston Pitts President, Chief Operating Officer and Chief Financial Officer of the Company of which $225,000 has been advanced. Interest on unpaid principal shall accrue monthly at the rate of 6% per annum. Principal and interest are due upon demand.
