State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

The Company’s annual report on Form 10-K for the year ended September 30, 2012 cannot be filed within the prescribed time period for the following reasons:

1.)

due to an unfortunate extended period of sick leave of the Company’s only accountant, and the Company while delegated out the accountant’s work to other employees of the Company, preparing the working papers and collating the necessary documents for the auditor took longer than if the accountant had done them; and

2.)

the Company and its independent registered public accounting firm are still in the process of completing their work required in order for the Company’s independent registered public accounting firm to render its opinions on the Company’s consolidated financial statements.

The Company continues to dedicate significant resources to the audit of the financial statements, internal control testing and the preparation and analysis of its reporting requirements for its September 30, 2012 annual report on Form 10-K and review of XBRL detailed tagging for its September 30, 2012 consolidated financial statements. The Company currently anticipates filing its September 30, 2012 annual report on Form 10-K and its related XBRL documents on or before the extended deadline of January 15, 2013.
