Item 5.02 Departure of Directors or Principal Executive Officer; Election of Directors; Appointment of Principal Officers.

On April 20, 2010, Mr. Christian Demoyen, a member of the Board of Directors, submitted his notice of resignation to Deep Well Oil & Gas, Inc. (the “Company”). And on April 20, 2010, the Company acknowledged and accepted Mr. Demoyen’s resignation.
