NEWS RELEASE

Canarc Resource Confirms Termination of Share Exchange Agreement with Santa Fe Gold

Vancouver, Canada – October 16, 2014 – Canarc Resource Corp. (“Canarc” or the “Company”) (TSX: CCM, OTC-BB: CRCUF, Frankfurt: CAN) wishes to confirm the termination of the Share Exchange Agreement dated July 15, 2014 (the “Agreement”), by and between Canarc and Santa Fe Gold Corporation (“Santa Fe”). The conditions precedent set forth in Agreement were not satisfied.

Pursuant to the Agreement, certain Canarc officers and directors were appointed to the Santa Fe management and board and with the termination of the agreement, effective immediately, all individuals resigned from their roles as Santa Fe officers and/or directors.
