RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On November 6, 2008, Sun-Times Media Group, Inc. (the “Company”) reported its results of operations for the third quarter ended September 30, 2008. A copy of the press release issued by the Company concerning the foregoing is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.

Simultaneously with the Company’s announcement of its third-quarter 2008 financial results pursuant to the press release referred to in Item 2.02—Results of Operations and Financial Condition above, the Company issued a letter to shareholders by Cyrus Freidheim, President and Chief Executive Officer of the Company.
