The Registrant is unable to file its annual report on Form 10-K for the fiscal year ended September 30, 2012 by the prescribed date without unreasonable effort or expense due to unexpected delays involved in the compiling and auditing of the Company’s financial information. The Registrant expects to file the Form 10-K no later than the fifteenth calendar day following the prescribed due date, as permitted by Rule 12b-25.

Explanation:

 

The following is an unaudited summary of the operating results of Rochester Medical Corporation for the fiscal year ended September 30, 2012, as compared to fiscal year ended September 30, 2011.

 

Net sales for our fiscal year ended September 30, 2012 were $61.7 million, an increase of $8.3 million, or 16%, from $53.4 million in the prior fiscal year.  The increase in net sales resulted from an 18% increase in direct sales for the fiscal year, while private label sales increased 6% for the fiscal year.

 

Our net income for fiscal 2012 was $2,050,000, or $.17 per diluted share compared to a net loss of $(1,315,000), or $(.11) per diluted share, in fiscal 2011.  The increase in net income for fiscal 2012 compared to fiscal 2011 primarily resulted from increased sales as well as reduced operating expenses incurred in 2012.
