Item 5. Other Events

On March 27, 2003, we announced the appointment of Dr. Jihad Kiwan as our president and chief executive officer effective March 30, 2003. Mr. Wheeler will continue to serve as a member of our board of directors and will be appointed vice chairman.

Dr. Kiwan joins Trikon Technologies from Amkor Wafer Fabrication Services where he was Senior Vice President and General Manager. He previously worked for SCI Systems and Hewlett Packard. Dr. Kiwan gained a Master’s Degree and Ph.D. at the University of Toulouse.

A copy of the press release announcing the appointment of Dr. Kiwan is attached hereto as Exhibit 99.1, and a copy of the employment agreement with Dr. Kiwan is attached hereto as Exhibit 10.1.
