Notwithstanding the foregoing, in no event shall the aggregate shares of Common Stock granted pursuant to Awards and available for Awards equal or exceed 20% of the Company's "voting power outstanding" (as such term is defined in Paragraph 312.03 of the New York Stock Exchange Listed Company Manual).
