Item 1.01 Entry into a Material Definitive Agreement

 

On February 7, 2006, the Compensation Committee of the Board of Directors of Mercury Interactive Corporation (the “Company”) approved the payment of cash bonuses under the Company’s annual cash bonus plan to certain of its officers for services rendered to the Company in 2005. This included bonuses paid to our named executive officers as follows: Anthony Zingale, David Murphy, James Larson, Christopher Lochhead and Yuval Scarlat in the amounts of $660,000, $400,000, $300,000, $275,000 and $250,000, respectively. These bonus payments were based on the committee’s assessment of each officer’s individual performance as well as the performance of the Company’s business, including performance targets set by the committee during the year. In addition, the committee considered the increased responsibilities given to certain of these officers during 2005.
