Items 2.02 Results of Operations and Financial Condition

 

On April 20, 2005, Mercury Interactive Corporation issued a press release announcing financial results for the quarter ended March 31, 2005. This information shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, and is not incorporated by reference into any filing of the company under the Securities Act of 1933 or the Securities Exchange Act of 1934, whether made before or after the date of this report and irrespective of any general incorporation language in the filing.

 

Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

 

Effective April 20, 2005, Bryan LeBlanc, Mercury’s Vice President, Finance and Operations, will transition from his current role to help lead the design and implementation of Mercury’s new operational and financial reporting system and will no longer be Mercury’s principal accounting officer.

 

Effective April 20, 2005, Douglas Smith, Mercury’s Executive Vice President and Chief Financial Officer, will serve as Mercury’s principal accounting officer.

 

Biographical information regarding Mr. Smith and a description of the material terms of Mr. Smith’s employment agreement with Mercury are set forth in Mercury’s proxy statement for its 2005 Annual Meeting of Stockholders, which was filed with the Securities Exchange Commission on March 31, 2005.
