Item 3.02 Unregistered Sales of Equity Securities.
On January 14, 2022, FOMO sold an institutional investor $220,000.00 face amount of 10% unsecured junior convertible debt with a fixed conversion price of $0.001 and one-year maturity. FOMO also issued the investor 110,000,000 common stock purchase warrants with an exercise price of $0.002 and a three-year expiration. After original issue discount (“OID”) and fees, the financing netted the Company $200,000.00.
