Item 3.02 Unregistered Sales of Equity Securities.
     On November 27, 2007, ION Geophysical Corporation (the “Company”), in privately negotiated transactions, completed induced conversions of approximately $52.76 million in aggregate principal amount of its outstanding 5.50% Convertible Senior Notes due December 2008 (the “Notes”), into 12,212,964 shares of the Company’s common stock based on the $4.32 per share conversion price under the Notes. The issuance of the Company’s common stock upon conversion of the Notes was made in reliance on the exemption from the registration requirements provided under Section 3(a)(9) of the Securities Act of 1933, as amended.
     As a result of these conversions, the Company reduced the outstanding principal amount of the Notes to approximately $7.24 million. The Company also paid to the converting holders of the Notes approximately $1.3 million of interest accrued on the converted Notes. In addition, a supplemental payment of approximately $2.9 million was made to the holders in lieu of future interest payments on the Notes, resulting in cost savings of approximately $100,000 when compared to the interest payments due in 2008. This supplemental payment will be charged to expense in the fourth quarter of 2007. After giving effect to these transactions, the Company’s common shares outstanding total approximately 93,573,967 shares, which exclude 758,679 shares of unvested restricted stock held by employees.
