Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On February 24, 2021, Lawrence A. Zimmerman, a member of the Board of Directors (the “Board”) of Flex Ltd. (the “Company”) informed the Board of his decision to retire from the Company’s Board effective February 28, 2021. Mr. Zimmerman’s decision to retire is not the result of any disagreement with the policies, practices or procedures of the Company. Both the Company and the Board thank Mr. Zimmerman for his many years of dedicated service and valuable contributions as a director, member of the Nominating and Corporate Governance Committee, and former Chair of the Audit Committee.
