State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

Versant Corporation (the “Registrant”) requires additional time to finalize the review and processing of its Annual Report on Form 10-K for its fiscal year ended October 31, 2004.  The Registrant is unable to complete and file its annual report on Form 10-K within the prescribed time period without unreasonable effort or expense.  This circumstance results primarily from the substantial volume of non-ordinary course matters to be covered in the Registrant’s annual report on Form 10-K for fiscal year 2004 compared with prior years’ annual reports, due in part to numerous corporate transactions during fiscal year 2004.  The Registrant currently expects that its Form 10-K will be filed by no later than the fifteenth calendar day following the date on which it was due.

The Registrant’s results of operations to be reflected by the financial statements in the Registrant’s Form 10-K for its fiscal year ended October 31, 2004 will be consistent with the Registrant’s current report on Form 8-K dated December 15, 2004, including Exhibit 99.01 furnished therewith.  As stated in that Exhibit 99.01, Registrant’s revenues for the year ended October 31, 2004 were up 4% over the year ended October 31, 2003.  Registrant’s operating expense for fiscal 2004 increased by $5.5 million from fiscal 2003, and Registrant’s net loss per share from continuing operations for fiscal 2004 was ($0.32) per share compared to a net loss of ($0.17) per share in fiscal 2003.
