Subject Company: Cascade Bancorp (Commission File No. 000-23322)

The following information was distributed to all employees of Cascade Bancorp on November 17, 2016.

Today we were very excited to announce that Bank of the Cascades has agreed to join First Interstate Bank. As Cascade Bankers, we share a deep pride in our bank, what we have accomplished and what we deliver to our customers and communities. Going forward and together with First Interstate Bank, I am very pleased to share that we will continue that tradition of delivering quality financial services and making a difference in our communities.
First Interstate Bank, headquartered in Billings, Montana, is a recognized leader in the communities they serve. The $9 billion organization is driven by strong family and corporate values, and currently serves customers across Montana, Wyoming and South Dakota from over 80 branches and offices.
Importantly, while we are not able to make specific promises at this time, our expectation is that many employees from Bank of the Cascades will have the opportunity to continue as part of the new First Interstate Bank team. As a result of the merger, the combined bank will have a larger workforce to serve a larger customer base. Additionally, our Oregon, Idaho and Washington markets are new regions for First Interstate Bank and as such they are excited to get to know our experienced and talented local banking teams and consider how we can work together.

I realize this news comes with many questions and uncertainty and you have my commitment to responding to you with transparency and honesty. In the coming days, and together with First Interstate leadership, we will be holding meetings and town halls across all of our regions so that we can meet in person, provide you more information and respond to your questions.
At this time, I encourage you to review the Q&A attached to this email and to reach out to me, our any of our Executive team directly if you have immediate questions. This is an exciting time for our bank and I am so very proud of all you have collectively accomplished that has lead us to this very positive opportunity. As you are all aware, it takes month of work to complete a merger, and in the meantime, we have a great bank to run and great customers to serve. I look forward to continuing to work together and to seeing you in person in your local market in the coming weeks.
Thanks,
Terry
