State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Our Quarterly Report on Form 10-QSB for the period ended June 30, 2006 cannot be filed within the prescribed time period because on August 11, 2006, we received comments from the Commission’s Staff on our Registration Statement on Form SB-2. Certain of those comments relate to the presentation of information required to be included in the Form 10-QSB and we require additional time to address those comments. We could not eliminate this delay without unreasonable effort or expense. We expect to file the Form 10-QSB as soon as reasonably practicable following the prescribed due date and within the time period permitted by Rule 12b-25.
