ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On January 24, 2007, we announced in a press release information concerning our earnings for the three and twelve months ended December 31, 2006. A copy of this press release, including information concerning forward-looking statements and factors that may affect our future results, is attached at Exhibit 99.1.

ITEM 2.06 MATERIAL IMPAIRMENT
As part of its review and closing process for the year ended December 31, 2006, the Company identified a pre-tax impairment of $18.4 million related to the write-off of a note receivable and other outstanding amounts related to the Company’s sale of its auto haul business in April 2005. The Company recorded the pre-tax impairment of such amount in the fourth quarter of 2006.
