Item 2.02.   Results of Operations and Financial Condition.

On January 12, 2006, Benchmark Electronics, Inc. issued a press release announcing that it expects to meet or exceed fourth quarter 2005 analysts’ consensus of $604 million revenues and earnings per share of $0.52.  A copy of the press release is attached as Exhibit 99.1 hereto and is hereby incorporated herein by reference. BENCHMARK ELECTRONICS EXPECTS TO MEET OR EXCEED

FOURTH QUARTER 2005 ANALYSTS’ CONSENSUS

ANGLETON, TX, JANUARY 12, 2006 – Benchmark Electronics, Inc. (NYSE: BHE) announced today that it expects to meet or exceed fourth quarter 2005 analysts’ consensus of $604 million revenues and earnings per share of $0.52.

The Company is currently finalizing its financial closing for the fourth quarter ended December 31, 2005. Results for the fourth quarter will be announced on February 7, 2006. A conference call hosted by Benchmark management will be held at 10:00 am (Central time) on February 7, 2006 to discuss the financial results of the Company and its future outlook.
