Item 2.02 Results of Operations and Financial Condition.

On July 30, 2024, Benchmark Electronics, Inc. (the “Company”) issued a press release announcing its results of operations for the quarter ended June 30, 2024. A copy of the press release and accompanying investor presentation are attached hereto as Exhibits 99.1 and 99.2, respectively, and incorporated by reference herein. On July 30, 2024, the Company announced that its Board of Directors have approved a quarterly dividend increase, raising the quarterly dividend from 16.5 cents to 17 cents per common share.
