(b)                                 Dr. Glen D. Nelson will retire from The Travelers Companies, Inc. (the “Company”) Board of Directors effective May 5, 2009, the date of the 2009 Annual Meeting of Shareholders. Dr. Nelson’s retirement is due to his reaching the mandatory retirement age as stated in the Company’s Amended and Restated Governance Guidelines. The Company is grateful to Dr. Nelson for his 17 years of service on the Board.
