Other Events.

On February 17, 2016, Appliance Recycling Centers of America, Inc. (the “Company”) received a letter from the staff (the “Staff”) of The Nasdaq Stock Market (“Nasdaq”) notifying the Company that, because the closing bid price for its Common Stock had been below $1.00 per share for the previous 30 consecutive business days, it no longer complied with the minimum bid price requirement for continued listing on The Nasdaq Capital Market. Nasdaq Marketplace Rule 5550(a)(2) requires a minimum bid price of $1.00 per share (the “Minimum Bid Price Requirement”). On April 20, 2016, the Staff notified the Company that it has determined that for the last 10 consecutive business days, from April 6, 2016 to April 19, 2016, the closing bid price of the Company’s Common Stock has been at or above the minimum $1.00 per share. Accordingly, the Company has regained compliance with the Minimum Bid Price Requirement and this matter is now closed.
