Item 7.01 Regulation FD Disclosure.

On November 17, 2017, Financial Institutions, Inc. (the "Company") issued a press release announcing the declaration of a cash dividend of $0.22 per common share. The Company also announced dividends of $0.75 per share on Series A 3% Preferred Stock and $2.12 per share on Series B-1 8.48% Preferred Stock. All dividends are payable January 2, 2018 to shareholders of record as December 14, 2017.

Financial Institutions, Inc. Announces Increase in Quarterly Dividend

Quarterly dividend increased 5% to $0.22 per common share – the equivalent of $0.88 annually

WARSAW, N.Y. – November 17, 2017 – Financial Institutions, Inc. (the “Company”) (NASDAQ: FISI) announced today that its Board of Directors has approved a quarterly cash dividend of $0.22 per outstanding common share, which represents a 5% increase from the most recent quarterly cash dividend. The Company also announced dividends of $0.75 per share on its Series A 3% preferred stock and $2.12 per share on its Series B-1 8.48% preferred stock. All dividends are payable January 2, 2018, to shareholders of record on December 14, 2017.

Martin K. Birmingham, President and Chief Executive Officer, stated, “We are pleased to announce the Board’s decision to increase the quarterly dividend to common shareholders. This increase reflects our confidence in the Company’s long-term strategy as well as our commitment to enhancing total return for our shareholders.”
