Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 24, 2017, John E. Benjamin notified Financial Institutions, Inc. (the "Company") that he will not stand for re-election to the Board of Directors of the Company when his current term expires at the upcoming 2017 Annual Meeting of Shareholders. Mr. Benjamin has served as a director since 2002. His decision not to stand for re-election was not due to any disagreement with the Company.





Item 8.01 Other Events.

On March 29, 2017, the Company issued a press release announcing that its Annual Meeting of Shareholders will be held on Wednesday, June 21, 2017 at 10:00am at the Company's Corporate Headquarters at 220 Liberty Street in Warsaw, New York. The record date for the Annual Meeting is Monday, April 24, 2017.

2017 Annual Meeting of Shareholders

WARSAW, N.Y. – March 29, 2017 – Financial Institutions, Inc. (NASDAQ: FISI) announced today that its Annual Meeting of Shareholders will be held on Wednesday, June 21, 2017 at 10:00 a.m. at the Company’s Corporate Headquarters at 220 Liberty Street in Warsaw, New York. The record date for the Annual Meeting is Monday, April 24, 2017.
