Item 8.01 Other Events.
On May 25, 2011, Financial Institutions, Inc. issued a press release announcing the declaration of a cash dividend of $0.12 per common share. The Company also announced dividends of $0.75 per share on Series A 3% Preferred Stock and $2.12 per share on Series B-1 8.48% Preferred Stock. All dividends are payable on July 5, 2011 to shareholders of record on June 17, 2011. A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K.

FINANCIAL INSTITUTIONS INCREASES QUARTERLY DIVIDEND BY 20%
WARSAW, N.Y., May 25, 2011 Financial Institutions, Inc. (Nasdaq: FISI) (the Company) announced today that its Board of Directors has declared a quarterly cash dividend of $0.12 per share of outstanding common stock, representing a 20% increase over the previous quarters dividend of $0.10 per share. The Company also announced dividends of $0.75 per share on Series A 3% Preferred Stock and $2.12 per share on Series B-1 8.48% Preferred Stock. All dividends are payable on July 5, 2011 to shareholders of record on June 17, 2011.
