Item 8.01 Other Events.

Financial Institutions, Inc. (the “Company”) has announced that the 2024 Annual Meeting of Shareholders will be held on Wednesday, June 5, 2024. The meeting will be held in a virtual format only, via live webcast, beginning at 10:00 am Eastern Time. The record date for voting at the Annual Meeting will be April 10, 2024. Further details regarding the Annual Meeting, including how to participate, will be included in the Financial Institutions, Inc. Proxy Statement and Notice of Annual Meeting of Shareholders expected to be made available to shareholders and filed with the Securities and Exchange Commission on or about April 12, 2024.

On March 14, 2024, the Company issued a press release announcing the date, time and location of the Annual Meeting. A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K and shall not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934 (“Exchange Act”), as amended, or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, of the Exchange Act, whether made before or after the date of this report, except as shall be expressly set forth by specific reference in such filing.
