Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) On May 31, 2006, Escalon Medical Corp. (the "Company") received the resignation of David Berkowitz, the Company's Vice President and Controller, and serving as it's principal financial and accounting officer. Mr. Berkowitz's resignation is effective June 16, 2006.
