ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR

Effective December 7, 2007, the Board of Directors of K-Swiss Inc. (the “Company”) amended Sections 6.1, 6.2 and 6.4 of the bylaws of the Company (the “Bylaws”). The amendment to the Bylaws provides for the issuance of uncertificated shares of the Company’s stock. The foregoing summary is qualified in its entirety by reference to the complete text of the amendment, a copy of which is attached as Exhibit 3.1 to this Form 8-K.
