The conversion of shares of Class B Common Stock into shares of Class A Common Stock is exempt from Section 16(b) of the Act under Rule 16b-6(b) promulgated thereunder.  These Class B shares are convertible at any time and they do not expire.  20,000 of the shares of Class B Common Stock were converted to shares of Class A Common Stock on the above date.</footnote>
