PAY VERSUS PERFORMANCE
In accordance with rules adopted by the Securities and Exchange Commission pursuant to the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010, we provide the following disclosure regarding executive compensation of our principal executive officer (“PEO”) and the average of the Non-PEO NEOs, and certain performance metrics for the fiscal years listed below. The Compensation and Human Capital Committee did not consider the pay versus performance disclosure below in making its pay decisions for any of the years shown; rather, the Committee followed Stericycle’s Executive Compensation Philosophy and best practice when making pay decisions.

The 2022 amounts reported in the Summary Compensation Table Total and the Compensation Actually Paid columns for the PEO and the average for the Non-PEO NEOs (and in the 2022 adjustment amounts in footnote (4) below) have been modified from the amounts reported in the Pay Versus Performance section of our proxy statement filed in 2023 due to the 2022 amounts in the “Stock Awards” and “Total” columns in the Summary Compensation Table being overstated in the 2023 proxy statement. See footnote (1) to the Summary Compensation Table in this proxy statement.

The Peer Group total shareholder return (“TSR”) set forth in this table utilizes the Dow Jones U.S. Waste & Disposal Services Index, which we also utilize in the stock performance graph required by Item 201(e) of Regulation S-K included in our Annual Report on Form 10-K for the year ended December 31, 2023. The Company TSR and Peer Group TSR amounts assume $100 was invested for the period starting December 31, 2019, through the end of the listed year in the Company and in the Dow Jones U.S. Waste & Disposal Services Index, respectively. Historical stock performance is not necessarily indicative of future stock performance.

We determined the EPS Metric to be the most important financial performance measure used to link Company performance to compensation actually paid to our PEO and Non-PEO NEOs in 2023. The EPS Metric is calculated from diluted earnings per share, adjusted for certain matters, and is a non-GAAP financial measure. For additional detail and reconciliations to the most directly comparable U.S. GAAP measures, see Appendix A to this proxy statement. This performance measure may not have been the most important financial performance measure for prior years and we may determine a different financial performance measure to be the most important financial performance measure in future years.
