Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 10, 2023, the Board of Directors (the “Board”) of Granite Construction Incorporated (the “Company”) adopted a Clawback Policy (the “Clawback Policy”) in order to comply with Section 10D of the Securities Exchange Act of 1934 (the “Exchange Act”), Rule 10D-1 of the Exchange Act and the listing standards adopted by the New York Stock Exchange.
The Clawback Policy provides for the mandatory recovery of erroneously awarded incentive-based compensation from current and former executive officers (as defined in the Clawback Policy) of the Company (“Section 16 Officers”) in the event that the Company is required to prepare an accounting restatement.
In connection with the adoption of the Clawback Policy, on October 10, 2023, the Company’s current Section 16 Officers signed an acknowledgement and agreement pertaining to the Company’s Clawback Policy (the “Acknowledgement”). Pursuant to the Acknowledgement, the Company’s current Section 16 Officers have agreed to be bound by the Clawback Policy.
