Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

Safeco previously reported in a Form 8-K filed July 18, 2005 Mike McGavick’s decision to leave his post as CEO effective August 31, 2005. Safeco has not yet completed its search for a new chief executive officer, and Mr. McGavick has agreed to retain the title until a successor is named. He will serve as chairman of the board and will provide other transitional leadership as needed at least through the end of this year.
