On November 14, 2016, the Board of Directors of HCA Holdings, Inc. (the Company) appointed Samuel N. Hazen as President and Chief Operating Officer of the Company, effective immediately.
Mr. Hazen has served as the Companys Chief Operating Officer since January 2015. Prior to that time, he served as President Operations of the Company from February 2011 to January 2015. Mr. Hazen served as President Western Group from July 2001 to February 2011 and as Chief Financial Officer Western Group of the Company from August 1995 to July 2001. Mr. Hazen served as Chief Financial Officer North Texas Division of the Company from February 1994 to July 1995. Prior to that time, Mr. Hazen served in various hospital and regional Chief Financial Officer positions with Humana Inc. and Galen Health Care, Inc.
The information required by Item 5.02(c)(2) of Form 8-K regarding Mr. Hazen is contained in the Companys Annual Report on Form 10-K for the fiscal year ended December 31, 2015 filed with the Securities and Exchange Commission (SEC) on February 26, 2016 and the Companys Proxy Statement for the Annual Meeting of Stockholders held on April 28, 2016 filed with the SEC on March 17, 2016 and is incorporated herein by reference. Mr. Hazens compensation as President and Chief Operating Officer has not yet been determined.

HCA ANNOUNCES PROMOTION OF SAM HAZEN
TO PRESIDENT AND CHIEF OPERATING OFFICER
NASHVILLE, Tenn., November 16, 2016 HCA (NYSE:HCA) announced today that Samuel N. Hazen, the companys chief operating officer, has been promoted to president and chief operating officer, effective immediately. A 33-year veteran of the nations largest investor-owned healthcare provider, Hazen has served as COO since January 2015. In this role, he oversees operations for the companys 170 hospitals, 118 ambulatory surgery centers, and numerous outpatient facilities and physician practices across 42 domestic markets and the United Kingdom.
Milton Johnson, HCAs chairman and CEO, said, Sam is a seasoned leader who has grown both in knowledge and expertise through a series of senior roles spanning more than three decades at HCA. With his intense focus and deep knowledge of HCAs markets, I am confident in Sams ability to continue to lead the execution of our robust operations agenda.
Hazen has served in various senior positions for HCA. Prior to his COO role, he was president of operations, and from 2001-2011 was president of HCAs Western Group, which included all operations west of the Mississippi River and represented approximately one-half of the companys revenue.
Hazen served as chief financial officer for the Western Group from 1995-2001. Prior to 1995, he was chief financial officer for two different divisions in the company, overseeing operations in North Texas and several other markets. He began his career in Humanas Financial Management Specialist Program in 1983 and held chief financial officer positions at hospitals in Georgia and Las Vegas.
Hazen earned his bachelors degree in finance from the University of Kentucky in 1982 and his masters degree in business administration from the University of Nevada, Las Vegas in 1988. He and his wife, Glenna, live in Nashville and have two sons.
