The Company requests an extension of time for the filing of its Annual
Report on form 10-K.  The Easter holiday immediately preceding the filing
date, and attendant unavailability of signatories for final review/approval
of the instant 10-K Report necessitated the within extension of time.  The
registrant's 1996 10-K report will be filed electronically on or before
April 7, 1997.
