The Merger Agreement was approved by the shareholders of Cisco Systems California at the annual meeting of shareholders held on December 10, 2020, for which proxies were solicited pursuant to Section 14(a) of the Securities Exchange Act of 1934, as amended (the Exchange Act). As a result of the Merger and upon the effective date of the Merger, each outstanding share of common stock, par value $0.001 per share, of Cisco Systems California was automatically converted into one share of common stock, par value $0.001 per share, of the Company. Immediately prior to the consummation of the Merger, the Company had nominal assets and liabilities.
For purposes of this Amendment and the Registration Statements, any reference to Cisco Systems, Inc. (i) as of any time prior to the effective time of the Merger shall mean Cisco Systems California and (ii) as of any time after the effective time of the Merger shall mean the Company.
