Explanation of Responses: In connection with a Merger Agreement (the "Merger Agreement"), dated February 28, 2000, by and among Bass PLC, BHR North America, Inc. (each a "Reporting Person", and collectively, the "Reporting Persons") and Bristol Hotels & Resorts (the "Issuer"), the Reporting Persons and United/Harvey Holdings, L.P. ("Holdings"), entered into a Stockholder Agreement, dated as of February 28, 2000 (the "Stockholder Agreement"). Pursuant to the Stockholder Agreement and subject to the terms thereof, Holdings has agreed to tender the shares of common stock, par value $0.01 per share, of the Issuer (the "Shares") owned by it in the tender offer made by BHR North America, Inc. for all of the issued and outstanding Shares of the Issuer and to vote such Shares in favor of the Merger Agreement at any meeting of the stockholders of the Issuer. Holdings has also granted BHR North America, Inc. a power of attorney to vote Holdings' Shares in connection with any vote of the stockholders of the Issuer relating to the Merger Agreement.
