On November 2, 2012, Caesars Entertainment Corporation (the “Registrant”) completed the previously announced sale of the equity interests held by certain affiliates of the Registrant in the Harrah’s St. Louis casino to Penn National Gaming, Inc. for a purchase price of $610.0 million.
