On October 20, 2004, the Registrant issued a press release announcing that its Board of Directors had declared a cash dividend of $.33 per share for every issued and outstanding share of common stock, to be paid on November 24, 2004 to stockholders of record at the close of business on November 10, 2004.  The text of the press release is attached to this report as Exhibit 99.1 and is incorporated herein by reference.

Harrah’s Entertainment Declares Quarterly Cash Dividend

LAS VEGAS, October 20, 2004 – The board of directors of Harrah’s Entertainment, Inc. (NYSE: HET) declared a regular quarterly cash dividend of 33 cents per share, payable November 24, 2004, to shareholders of record as of the close of business on November 10, 2004.

Various subsidiaries of Harrah’s Entertainment, Inc. own or manage 28 casinos in the United States, primarily under the Harrah’s and Horseshoe brand names.
