        <footnote id="F1">Pursuant to a call option agreement between the Reporting Person and Mr. Tao Li, dated December 26, 2007, the Reporting Person is obligated to transfer to Mr. Li up to 6,535,676 shares of the Issuer's Common Stock upon the satisfaction of certain conditions (the &quot;Call Option Agreement&quot;).By February 24, 2009, Mr. Li has satisfied Condition 4 set forth in the Call Option Agreement, the Reporting Person hence transferred 1,089,280 shares to Mr. Li accordingly.</footnote>

In the event that the Issuer does not achieve the 2009 Targets set forth therein, the 3,156,808 shares of Common Stock will be conveyed to the Investors for no additional consideration.
