On August 11, 2006, Michael Caruso resigned from the Registrant’s Board of Directors. As a result of his resignation, the Registrant will not nominate Mr. Caruso for election to the Registrant’s Board of Directors at its Annual Meeting of Stockholders to be held on August 17, 2006.
