Item 2.02   Results of Operations and Financial Condition.

      Slade's Ferry Bancorp (the "Company") issued a press release on
January 25, 2006 disclosing certain information concerning its fourth
quarter and fiscal year 2005 results of operations and financial condition.
A copy of that press release is attached as Exhibit 99.1 hereto.

Item 5.02   Departure of Directors or Principal Officers; Election of
            Directors; Appointment of Principal Officers.

      (b)   On January 25, 2006, Kenneth R. Rezendes, Chairman of the Board
of the Company and Slade's Ferry Trust Company (the "Bank") announced his
intention to retire from his positions on the Board of Directors of the
Company and the Bank effective February 1, 2006.
