1. Includes 5,286 shares of Common Stock of Western Gas Resources, Inc., subject to vesting restrictions.

2. On September 22, 2003, Reporting Person was granted options to purchase 9,000 shares of Western Gas Resources, Inc. common stock. Options vest in 1/3 annual increments commencing on the first anniversary of the grant date and expire on the earlier of five years from vesting or on September 22, 2013.

3. On September 17, 2004, Reporting Person was granted options to purchase 6,500 shares of Western Gas Resources, Inc. common stock. Options vest in 1/3 annual increments commencing on the first anniversary of the grant date and expire on the earlier of five years from vesting or on September 17, 2014.

4. On May 19, 2005, Reporting Person was granted options to purchase 7,600 shares of Western Gas Resources, Inc. common stock. Options vest in 1/3 annual increments commencing on the first anniversary of the grant date and expire on the earlier of five years from vesting or on September 17, 2012.
