        On June 30, 2005, Western Gas Resources, Inc. ("Western") issued a press release announcing that on June 27, 2005 it had entered into a Stipulation and Agreement of Settlement in the previously disclosed action In re: Natural Gas Commodity Litigation, United States District Court, Southern District of New York, Case No. 03-CV-6186 (vm) (S.D.N.Y.).

        The press release is attached as an exhibit to this Form 8-K and incorporated herein by reference.
