Explanation of Responses:

1. This Form 4/A is being filed to correct and supplement the Form 4 filed July 6, 2005 by Neuson Kramer Baumaschinen AG and to add the other reporting parties. The transaction in such Form 4 was a private intra-group transfer to Neuson Finance GmbH and resulted only in a change in the form of Neuson Baumaschinen AG's beneficial ownership. The reported securities are now held directly by Neuson Finance GmbH, a subsidiary of Neuson Kramer Baumaschinen AG, which is a subsidiary of PIN Privatstiftung.
