Item 5.03. Results of Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

        On February 25, 2005, the Board of Directors of Gehl Company (the “Company”) amended Section 3.01 of the Company’s By-Laws to increase the size of the Board of Directors from eight directors to nine directors. Copies of the amendment to the By-Laws and the Company’s By-Laws, as so amended, are filed as Exhibit 3.1 and Exhibit 3.2, respectively, to this Current Report on Form 8-K and are incorporated herein by reference.
