Introduction

This Amendment No. 3 to Rule 13e-3 Transaction Statement on Schedule 13E-3 amends the Schedule 13E-3 filed with the Securities and Exchange Commission (the “Commission”) on April 8, 2005, as amended by Amendment No. 1 filed on May 20, 2005 and by Amendment No. 2 filed on June 22, 2005, by Kaiser Group Holdings, Inc., a Delaware corporation (the “Company”), for purposes of effecting the transaction described herein.

Concurrently with the filing of this Amendment No. 3 to Schedule 13E-3, the Company is filing with the Commission a preliminary proxy statement on Schedule 14A of the Securities Exchange Act of 1934, as amended (the “Proxy Statement”), containing, among others, a proposal for the approval of, and information relating to, an amendment to the Company’s certificate of incorporation to effectuate a one for 20 reverse stock split of shares of common stock, par value $0.01, of the Company. The information in the Proxy Statement, including all annexes thereto, is expressly incorporated by reference into this Amendment No. 3 to Schedule 13E-3 in its entirety, and the responses to each item are qualified in their entirety by the provisions of the Proxy Statement. As of the date hereof, the Proxy Statement is in preliminary form and is subject to amendment and completion. Williams, Jr., a member of the Board of Directors, serves as a member of Capital Bank N.A.’s board of directors.  The certificates of deposits totaled $3.0 million and $1.1 million at December 31, 2005 and 2006, respectively.  The certificates of deposit bear a market rate of interest.
