The options become exercisable as to 20% of the shares on the first  anniversary of the grant and an additional 20% on each of the four subsequent anniversary dates thereafter on a cumulative basis.</footnote>

(i) an employee stock option to purchase 2,204 shares of the Common Stock of Valpey-Fisher Corporation at an exercise price of $1.9462 per share.  The option, granted on December 15, 1994, became exercisable as to 20% of the shares on the first five anniversary dates of the grant on a cumulative basis, and expires on December 14, 2004.

(ii) an employee stock option to purchase 15,000 shares of Common Stock of Valpey-Fisher Corporation at an exercise price of $11.0417 per share.  The option, which was granted on October 19, 2000, became exercisable as to 20% of the shares on the first and second anniversary dates and will become exercisable as to an additional 20% on the three subsequent anniversary dates thereafter, on a cumulative basis.

(iii) 29,950 shares of Common Stock of Valpey-Fisher Corporation of which 20,050 are owned jointly with the wife of the reporting person.</footnote>
