PART III - NARRATIVE

Jordan American  Holdings,  Inc.'s ("JAHI")  Corporate  Office Manager,  and the
Company's primary assistant to its President,  had been historically responsible
for the accumulation and processing of the requisite  information  necessary for
completing JAHI's 10k filings. Abruptly, without notice, she resigned, effective
the same day,  3/24/02,  five  business  days prior to the  Company's 10k filing
date. In addition to her regulatory  duties,  the Company has had to address her
other mission critical responsibilities.

Pursuant  to Rule  12b-25(b),  JAHI will  complete  its 10k  filing on or before
4/15/02,  within  in the 15 day  filing  extension  provided.  The  Company  has
addressed   its   regulatory   filing   requirements   by   re-assigning   these
responsibilities,  but as to the present  10k  filing,  JAHI could not have made
this requisite 10k filing without unreasonable effort and expense.
